The Schahin Group and MODEC, Inc. Land Guara FPSO for Petrobras and the companies of Consortium BM-S-9

MODEC announced today that Petrobras, through its wholly owned subsidiary PNBV, on behalf of Consortium BM-S-9, has signed a letter of intent for the supply, respectively, charter, and operations of a Floating, Production, Storage, and Offloading (FPSO) vessel for the BM-S-9 (Guara) Block in the giant "pre-salt" region of the Santos Basin ("Letter of Intent"). The BM-S-9 block is under concession to a consortium formed by Petrobras (45%), BG (30%), and Repsol (25%).The Letter of Intent was issued to the Schahin Group and MODEC, Inc., who have partnered for the latest leased FPSO. This is the first venture between the Schahin Group and MODEC, Inc.

The Schahin Group and MODEC, Inc. are responsible for the engineering, procurement, construction, mobilization, and operation of the FPSO, including topsides processing equipment as well as hull and marine systems. SOFEC will design and provide the spread mooring.

MODEC will convert the VLCC Radiant Jewel into the FPSO Cidade de Sao Paulo MV23. The FPSO will be capable of processing 120,000 barrels of oil or 150,000 barrels of total fluids per day.

Scheduled for delivery during the 4th quarter of 2012, the FPSO will be installed in the Guara field .

This is the seventh vessel MODEC will provide and operate in Brazil. MODEC is currently operating the FPSO Fluminense, the FPSO Cidade do Rio de Janeiro MV14, the FSO Cidade de Macae MV15, the FPSO Cidade de Niteroi MV18, and the FPSO Cidade de Santos MV20. The FPSO Cidade de Angra dos Reis MV22 is currently under construction and scheduled to be installed in the fourth quarter of 2010.

The Schahin Group has a significant presence in the drilling services market and has been working with Petrobras Group and Consortia of which Petrobras has been participating since 1982. The Schahin Group is pleased to expand in to production services via the partnership with MODEC and Petrobras Group and Consortia in which Petrobras participates.

Participation in FPSO chartering for Guara Field in Petrobras' pre-salt area

MODEC, Inc. (MODEC, head office: Chiyoda-ku, Tokyo; president: Toshiro Miyazaki), Mitsui & Co., Ltd. (Mitsui, head office: Chiyoda-ku, Tokyo; president: Masami Iijima) and Mitsubishi Corporation (Mitsubishi, head office: Chiyoda-ku, Tokyo; president: Ken Kobayashi) have agreed to invest in building and chartering a floating production, storage, and offloading system (FPSO) to GUARA B.V, a Dutch company belonging to BM-S-9 consortium members. The FPSO will be delivered offshore Brazil and used to develop the giant pre-salt region of the Santos Basin, in the BM-S-9 block (Guara Area) under concession to the consortium comprised of the following three companies: Petróleo Brasileiro S.A - Petrobras (45%), BG E&P Brasil Ltda - BG (30%), and Repsol Sinopec Brasil S.A - Repsol Sinopec (25%).

Mitsui and Mitsubishi shall soon finalize their capital investment in Dutch company Guara MV23 B.V. (MV23), a subsidiary established by MODEC. MODEC is currently converting the VLCC (very large crude oil carrier) Radiant Jewel into an FPSO under the ownership of MV23. Upon completion of the conversion, the system shall be named the FPSO Cidade de Sao Paulo MV23 and be deployed to the BM-S-9 (Guara) Block off the Brazilian coast, where vast oil reserves lay beneath a layer of rock and salt at a depth of 5,000 meters.

The topsides modules will be lifted and integrated on the FPSO in Brazil. The FPSO is scheduled for delivery during the 4th quarter of 2012, and is expected to be engaged in oil production for 20 years. MODEC is responsible for the engineering, procurement, construction, mobilization, and operation of the FPSO, including topsides processing equipment as well as hull and marine systems.

This is the second FPSO chartering project for the pre-salt area oil field, following the one announced in March 2010 also by us. MV23's Brazilian local partner as joint venture partner in the tender, Schahin Group, is considering the participation as a shareholder of MV23 for a certain share. Schahin Group will also take some roles in the operation of the FPSO.

FPSO Cidade de Sao Paulo MV23 - Oil Spill Incident in Brazil
Tokyo, Dec. 22, 2011

The MODEC vessel Cidade de São Paulo, recently arrived from China to complete its conversion as an FPSO (Floating Production Storage and Offloading) at the BrasFELS shipyard in Angra Dos Reis, Brazil. The vessel was anchored 5 nautical miles west of Ilha Grande.

At 09:30 hours on Friday, December 16th 2011 preparations for docking at the shipyard commenced.

During the startup of the de-ballasting operations approximately 2,000 litres (12 bbls) of fuel oil was accidentally discharged into the sea. The operation was stopped immediately and the MODEC oil spill response plan was put into action.

The relevant authorities were promptly notified and Oil Spill Response Vessels were deployed to the site within 3 hours. A series of helicopter observation flights were conducted to help with the location of potential oil sheens. Two possible sheens were located on Sunday December 18th, 2011 however the Oil Response Vessels confirmed the absence of oil.

Oil presence was subsequently reported to have reached a public beach located at Praia Bonfim, well inside the bay of Ilha Grande, about 13 nautical miles from the location of the FPSO. The Oil Spill Response Team headed to the beach, collected samples for analysis and proceeded to clean the area.

INEA, the State Environmental Agency authorized the demobilization of the emergency response resources on Monday December 19th, 2011.

MODEC has been collaborating fully with the authorities throughout the ongoing investigations and are in the process of determining the cause of the incident and implementing the necessary actions to avoid reoccurrence.
