Yinson further strengthens partnership for Brazil FPSO Anna Nery project with “K” Line participation

Posted Date: 10 Jul, 2020

Yinson via its wholly owned subsidiary, Yinson Acacia Ltd has entered into an agreement with Kawasaki Kisen Kaisha, Ltd. (“”K” Line”) to own around a 10% stake in a joint participation for the charter, operations and maintenance of FPSO Anna Nery, a floating, production, storage and offloading (FPSO) vessel for the Marlim revitalisation project in Brazil.

Image

Completion of the transaction is subject to final acceptance of the FPSO as well as the FPSO achieving stable operations which is expected to be met in 2023.

In line with the overall financing strategy for the project, the agreement makes “K” Line the second strategic partner following Sumitomo Corporation’s (“Sumitomo”) participation in the FPSO Anna Nery project with a 25% stake.

Commenting on the Group’s business strategy, Yinson’s Group Executive Chairman Lim Han Weng said, “The collaboration with “K” Line reaffirms the confidence that our partners have towards Yinson’s project execution and operational strength. Yinson and “K” Line have a strong relationship built on trust and cooperation seeing as they already hold an indirect equity stake in our FPSO John Agyekum Kufuor (“JAK”). Their investment into FPSO Anna Nery shows their continued confidence in our ability to deliver projects efficiently, and we are thankful and honoured for the opportunity to strengthen our existing partnership with yet another project”.

“K” Line is one of four partners including Sumitomo that make up the Japanese consortium who successfully acquired 26% equity interest in FPSO JAK in June 2018, a transaction that velocitised the value of the project for Yinson.

Conversion works on FPSO Anna Nery are progressing well, with its first steel cut carried out in April 2020, and the commencement of structural hull work. The project team is also making good progress with demolition works.

The estimated aggregate value of the FPSO Anna Nery project is USD5.4 billion, with a contract period of 25 years from the date of the final acceptance, with no options for extension thereafter.

Sumitomo’s participation follows on from the signing of a long term and binding Memorandum of Understanding (MoU) between the two parties on 20 April 2018 to jointly pursue and collaborate in the leasing and operation of FPSO and FSO projects worldwide. Yinson had also successfully divested a 26% stake in FPSO John Agyekum Kufuor to a Sumitomo-led consortium prior to this.

“Yinson and Sumitomo have a longstanding relationship built on trust and cooperation. In Sumitomo, we saw a partner that, like us, was seeking long-term strategic partnership – not just financial returns on a single project,” said Yinson Group Chief Executive Officer Mr Lim Chern Yuan.

“We are confident that the collaboration with Sumitomo will improve our ability to deliver FPSO Anna Nery safely and on time. We look forward to working with Sumitomo for future projects in time to come,” he said.

Work on FPSO Anna Nery is progressing well, with critical path long lead items placed and early works engineering contracts commenced as per project schedule. The vessel is currently undergoing conversion works in Qidong, China.

The estimated aggregate value of the FPSO Anna Nery project is equivalent to USD5.4 billion. The contract period is for 25 years from the date of the final acceptance.

Yinson-Sumitomo secures USD400m bridge financing for FPSO Anna Nery

Posted Date: 17 Sep, 2020

Yinson together with its project partner, Sumitomo Corporation (“Sumitomo”), have entered into a USD400 million bridge loan financing agreement for the FPSO Anna Nery Project, a floating, production, storage and offloading (FPSO) vessel for the Marlim revitalization project in Brazil.

The bridge loan is expected to be utilised from October 2020 to support the ongoing construction of FPSO Anna Nery whilst Yinson and Sumitomo continues to work on closing the long-term project financing package for the project.

Sumitomo has a 25% stake in the FPSO Anna Nery Project, which was awarded to Yinson by Petróleo Brasileiro S.A. ("Petrobras") in October 2019.

The bridge loan is supported by the following banks:

- EXPORT-IMPORT BANK OF MALAYSIA BERHAD
- MAYBANK INVESTMENT BANK BERHAD & MAYBANK INTERNATIONAL LABUAN BRANCH
- MIZUHO BANK LTD, LABUAN BRANCH
- NATIXIS, SINGAPORE BRANCH
- STANDARD CHARTERED BANK (SINGAPORE) LIMITED
- SUMITOMO MITSUI BANKING CORPORATION, SINGAPORE BRANCH
- THE HONGKONG AND SHANGHAI BANKING CORPORATION LIMITED

Yinson Group Chief Strategy Officer, Daniel Bong said that the deal was oversubscribed by the participating banks, which is a strong testament of their support of Yinson despite the challenging Covid-19 situation and the decline in oil price.

“The support that we have received for this deal is indeed a strong evidence of the confidence that the financial community has in Yinson notwithstanding the various hurdles exacerbated by the Covid-19 pandemic. We are immensely grateful to our partner, Sumitomo, the participating banks and our client, Petrobras for the unwavering support shown for this transaction. Through our close working relationship and collaboration, we have successfully achieved the objectives of all parties.”

Daniel added that it is the strong teamwork between Yinson’s project and corporate teams that enabled Yinson to maintain their excellent track record of delivering projects on time and on budget, which was instrumental in building up investors’ and lenders’ confidence.

Last year, Yinson’s first Malaysian-flagged vessel, FPSO Helang, went through a smooth 19-month conversion process, achieving first gas in December 2019. Yinson Holdings Berhad (“Yinson” or the “Group”), through its wholly-owned Singapore-based subsidiary Yinson Production Offshore Pte Ltd ("YPOPL"), together with its project partner Sumitomo Corporation (“Sumitomo”), have entered into a USD670 million syndicated loan facility (“mini perm”) for the FPSO Anna Nery project, with ING, Natixis and Standard Chartered Bank as underwriting banks. The agreement was also signed by AmBank, United Overseas Bank Ltd, Mizuho Bank Ltd and the Hongkong and Shanghai Banking Corporation Limited (HSBC) who are participating as senior lenders.

The 5-year limited recourse loan will be used to refinance an existing USD400 million bridge loan received in September 2020. The loan also will support the ongoing construction of FPSO Anna Nery, a floating, production, storage and offloading (FPSO) project awarded to Yinson by Petróleo Brasileiro S.A. ("Petrobras") in October 2019. Sumitomo owns a 25% stake in the project.

The deal has been positively received by the investment community with several banks expressing interest to participate, including Export-Import Bank of Malaysia Berhad which is expected to participate in the syndication phase.

Yinson Group Chief Strategy Officer Daniel Bong said that this deal, which is believed to be the first of its kind in the FPSO financing space, was made possible through the Group’s long-standing strong relationships with the underwriting banks.

“The deal was sealed amid significant challenges in the FPSO financing space, which have been compounded over the past year by the ongoing Covid-19 pandemic and evolving investor appetites due to the energy transition. The success of this deal is a testament to the investor community’s confidence in Yinson’s ability to continue delivering on our commitments and in the robustness of our business strategy,” he commented.

Daniel also acknowledged that the strong teamwork between all parties was instrumental to the success of the deal. “Our sincere appreciation goes to our project team, corporate team, underwriting banks ING, Natixis and Standard Chartered Bank, senior lenders, project partner Sumitomo and client Petrobras for showing such a great commitment towards the success of this mini perm. Indeed, this is a case of teamwork making the dream work,” he added.

Yinson’s Chief Executive Officer of Offshore Production Flemming Grønnegaard said that the project team’s continuing ability to meet construction milestones was crucial in cementing the support of the underwriting banks for the mini perm.

“With support of our client, contractors and subcontractors, we are pleased to have reached the halfway mark of the EPCIC phase of construction as per schedule despite challenging circumstances exacerbated by the pandemic. We have recently completed the final drydocking campaign at Cosco shipyard in China and are well on track for delivery in the last quarter of 2022,” he explained.

The FPSO is destined for the Marlim field located in the eastern part of the Campos Basin, about 150km offshore Rio de Janeiro, Brazil.

Yinson together with our project partner Sumitomo Corporation (“Sumitomo”) officially named our newest asset, FPSO Anna Nery, during a grand naming ceremony held concurrently in Jiangsu, China and Kuala Lumpur, Malaysia. Live feeds from the two locations were shared virtually to a global audience via a dedicated event website.

FPSO Anna Nery is currently undergoing final conversion works and is going to set sail for Brazil in Q3, where it will be deployed at the Marlim Field located in the eastern part of the Campos Basin, about 150km offshore Rio de Janeiro. The asset will be stopping for a few days in Singapore and Mauritius for crew change and fresh supplies.

The naming ceremony was graced by Mdm Bah Kim Lian, Lady Sponsor of the FPSO. Also in attendance in Kuala Lumpur were Yinson Group Executive Chairman Mr Lim Han Weng, General Manager of Sumitomo’s Energy Department Mr Wataru Sato and Petrobras General Manager, Marcio Mattoso de Padua giving a recorded speech, alongside Yinson’s Board Members and Management Committee and other senior representatives from Sumitomo, Petrobras and key banking partners. The Jiangsu event, held pier-side at the Cosco Qidong shipyard, was attended by FPSO Anna Nery Project Manager Scott Bendiksen, Chairman & President of Cosco Shipping Heavy Industry Liang Yanfeng, and Managing Director of Cosco Shipping Li Rong as well as the Yinson and Cosco project team and crew.

Notably, by building resilience through collective efforts, construction progress on the FPSO Anna Nery project remained relatively unimpacted by the various challenges brought about by the pandemic and stringent movement restrictions in China. Safety-wise, the project maintained Zero LTI over 7-million-man hours – an excellent achievement by any standard, and even more so given the volatile external environment.

Commenting on the momentous occasion, Yinson Production Chief Executive Officer Flemming Grønnegaard said, “This milestone provides confidence that Yinson has the ability to continue delivering responsible solutions to meet the world’s increasing energy demands, even in challenging circumstances. FPSO Anna Nery is our maiden asset in Brazil, and the first of three Brazil-bound offshore production projects that Yinson is currently undertaking. We are humbled by the trust that Petrobras has placed in us to deliver on this important energy infrastructure project and we look forward to achieving final delivery.”

Project Manager Scott Bendiksen said, “This naming ceremony is truly a celebration of adaptability, tenacity and teamwork between Yinson, our partner Sumitomo and our client Petrobras, together with our key bankers, vendors and subcontractors. With the construction phase in Cosco now almost completed, and ongoing commissioning works we will endeavour to achieving first oil as per the original contract schedule.”

Sumitomo Corporation General Manager of Energy Department Wataru Sato commented, “Sumitomo is honoured to be part of this landmark first FPSO in Brazil by Yinson and we would like to express our sincere appreciation to all contributors for their dedication and hardwork. We are confident that FPSO Anna Nery will perform well in the Marlim field.”

Petrobras General Manager of FPSO Projects Marcio Mattoso commented, “Petrobras congrats Yinson and all the parties involved in the achievement of such important milestone. Petrobras highlights that the FPSO Anna Nery will boost the production of Marlim Field, which is the first Petrobras Revitalization Project, and the unit is planned to commence its operation in the first quarter of 2023.”

Letters of Intent for the FPSO Anna Nery project were awarded to Yinson by Petrobras in October 2019, followed by firm contracts execution in March 2020. In April 2020, Sumitomo participated in the project with a 25% stake. The estimated aggregate value of the FPSO Anna Nery project is USD5.4 billion, with a contract period of 25 years from the date of the final acceptance.

ABB teams up with Yinson on offshore oil and gas project in Brazil

ABB to deliver complete electrical, control and telecommunication solutions including electrical house to drive efficiency and productivity for a new Floating Production, Storage and Offloading (FPSO) vessel in the Marlim 2 oil field.

Image

ABB has signed an agreement with energy solutions provider Yinson for electrical, control and telecommunication equipment and services onboard the FPSO Anna Nery bound for the Marlim 2 oil field in Campos Basin, Brazil. Yinson secured the contract to convert the 2002 Crude Oil Tanker leading operations and maintenance of the FPSO. The vessel is planned to operate on the field for 25 years.

Leveraging its ABB Ability™ System 800xA control system with Select Input/Output (IO), ABB will take responsibility for integration engineering in the project, integrating all the production modules onboard the vessel into a combined Integrated Safety and Control System (ICSS).

Yinson’s Chief Executive Officer Offshore Production, Flemming Grønnegaard added: “We are committed to deliver this FPSO in a lean, efficient, timely manner, and we believe that ABB’s technology solutions and experience on numerous other projects of this nature will enable us to achieve this. Marlim 2 is an important project for Yinson, and given ABB’s global experience and expertise, we have confidence in ABB as partners for FPSO Anna Nery.”

This is one of several offshore projects where ABB will utilize its Select IO for more efficient project execution. Select IO is an ethernet based, single-channel input output system, where field signals are digitally marshaled in smart junction boxes. Utilizing ABB’s xStream engineering approach alongside digital marshaling, Select IO will reduce project time by allowing the project team to decouple the hardware and software tasks and fully standardize the cabinet design. Cabinets can then be installed and terminated at a much earlier phase during construction. ABB will perform all software engineering in a cloud-based system bringing the hardware and software application together at a later stage utilizing Select IO digital marshaling. This seamless integration will improve interface for topside production, safety systems, marine systems, telecom packages, surveillance equipment and the electrical systems.

Brandon Spencer, managing director of ABB Energy Industries said: “We have a strong heritage in delivering Electrical, Control and Telecommunication packages for FPSOs both in Brazil and worldwide from our global lead centers in Singapore and Norway. In deploying ABB Ability™ System 800xA on this FPSO, we can help Yinson streamline project execution and their operations. This will enhance overall equipment effectiveness, in turn providing key data insights that will help make real time decisions on performance.”

The collaboration between the two companies will span the globe, with regional ABB teams working with Yinson in Asia and on site in Brazil, whilst drawing on the company’s global offshore expertise from its team based in Norway.

ABB has a strong track record in delivering digital solutions for FPSOs, working previously on several other FPSO projects including Maersk Peregrino, The Goliat and Armada Olombendo FPSO.

Petrobras announced yesterday that Marlim-2 FPSO Anna Nery has left COSCO Qidong yard last week. The FPSO will now carry out navigation tests for 15 days in Chinese waters, then make stops in Singapore and Mauritius, where it will supply and change the crew, until its arrival in Brazil, in October, when the final stage of commissioning and acceptance tests.

The FPSO Anna Nery will be the first of two platforms that will be part of the Marlim and Voador Revitalization Project in the Campos Basin, an important Petrobras field that today produces around 30,000 bpd of oil and around 420,000 m³ of gas.

The FPSO was chartered by Petrobras from Yinson and has the All Electric concept, which consists of maximizing the use of electric energy to drive the equipment of the production unit, which contributes to a lower level of carbon emissions in relation to other design concepts.

FPSO Anna Nery is scheduled to start production in 2023, with a capacity to produce 70,000 barrels of oil and process 4 million m³ of gas. The platform also has a water injection capacity of 240,000 barrels of water per day in the Marlim field.

The FPSO Anna Nery together with MODEC supplied FPSO Anita Garibaldi, the next production unit scheduled to operate the Marlim and Voador revitalization project, will be connected to 75 wells and will allow the extension of production from the field's deposits until 2048. The new systems will enable the expansion of the current production of Marlim and Voador to more than 150 thousand boepd.
